Terms of Service

Please read these Terms of Service ("Terms") carefully before using the NexDuty AI platform operated by NexDuty AI ("Company", "we", "us"). By accessing or using the service, you agree to be bound by these Terms. If you disagree, do not use the platform.

1. Service Description

NexDuty AI is a pre-check analysis tool designed to help Indian exporters assess potential Rules of Origin compliance under the proposed India–EU Free Trade Agreement. The platform uses AI to analyse supplier invoice data, calculate an indicative Maximum Non-Originating Materials (MaxNOM) percentage, and generate an informational compliance worksheet.

NexDuty AI is not a certificate generator. It does not issue, produce, or substitute any legally valid certificate of origin, Statement on Origin, or any other customs document recognised by any government authority. All platform outputs are preliminary analytical aids intended to support — not replace — professional compliance review.

Important: The India–EU Free Trade Agreement is not yet in force as of the date of these Terms. All analysis is based on publicly available draft texts and may change when the final agreement is ratified and implemented.

2. Nature of Outputs

All outputs generated by NexDuty AI — including MaxNOM calculations, origin determinations, compliance worksheets, and any accompanying analysis — are informational worksheets only. They are provided for internal assessment and operational planning purposes and do not constitute:

  • Legal advice or legal opinions of any kind.
  • Legally valid certificates, declarations, or statements of origin.
  • Documents suitable for submission to any customs authority, buyer, or regulatory body without independent verification.
  • A guarantee of compliance with any trade agreement, customs regulation, or tariff schedule.

Users must independently verify all outputs with a qualified customs consultant, licensed customs broker, or legal counsel before taking any action based on platform results.

3. Limitation of Liability

NexDuty AI accepts no liability whatsoever for customs duties, penalties, fines, interest, or any other financial or legal consequences arising from the use of, or reliance on, platform outputs.

To the maximum extent permitted by applicable law, NexDuty AI shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, loss of business, loss of data, customs penalties, or interest charges — arising from your use of or inability to use the platform, even if we have been advised of the possibility of such damages.

NexDuty AI makes no guarantee of accuracy, completeness, reliability, or fitness for any particular purpose with respect to the analysis results, MaxNOM calculations, or any other platform output. Our total aggregate liability to you for any claim arising under these Terms shall not exceed the amount you paid us in the three (3) months preceding the claim.

4. User Responsibilities

By using NexDuty AI, you agree that:

  • You are solely responsible for verifying all platform outputs with a qualified professional before relying on them for any purpose.
  • You will not submit platform outputs to any customs authority, buyer, or third party as a legally valid document without independent professional verification.
  • You will not upload invoices or data that you do not have the right to submit.
  • You will not use the platform to generate false, fraudulent, or misleading compliance documents.
  • You will not attempt to reverse-engineer, scrape, or extract the underlying AI models or system prompts.
  • You will not use the platform in any manner that violates applicable export control, sanctions, or trade laws.
  • You will not share your account credentials with unauthorised third parties.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

5. Intellectual Property

The NexDuty AI platform, including its software, design, algorithms, and content (excluding your uploaded documents), is owned by NexDuty AI and protected by copyright and intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the platform for your internal business purposes only.

You retain all ownership of documents you upload. By uploading, you grant us a limited licence to process those documents solely to provide the pre-check analysis service to you.

6. Credit and Payment Terms

NexDuty AI operates on a credit-based system. Each compliance pre-check analysis consumes 1 credit, regardless of the outcome of the analysis (pass, fail, or error in processing).

  • Credits are non-refundable once consumed.
  • Unused credits remain available in your account as long as your subscription is active.
  • Plan upgrades, downgrades, and overage purchases are processed through our payment provider (Razorpay).
  • All prices are displayed in Indian Rupees (INR) and are exclusive of applicable taxes unless stated otherwise.

We reserve the right to modify pricing with reasonable notice. Continued use after a pricing change constitutes acceptance of the new terms.

7. Data Privacy

Your use of NexDuty AI is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your data. By using the platform, you consent to the practices described therein.

We retain your account data and analysis history for as long as your account is active. You may request deletion of your data at any time by contacting us. Upon account deletion, your data will be permanently removed from our systems within 30 days, except where retention is required by applicable law.

8. Regulatory Disclaimer

NexDuty AI is not a licensed customs broker, legal advisor, or government-authorised body. The platform does not provide customs clearance services, regulatory filings, or legally binding determinations of any kind.

All analysis is based on publicly available trade agreement texts, tariff schedules, and product-specific rules that may be incomplete, outdated, or subject to change. The India–EU Free Trade Agreement is not yet in force, and the final ratified text may differ materially from the draft provisions used in our analysis.

Users operating in regulated industries should consult with their legal and compliance teams before making any trade decisions based on platform outputs.

9. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting a notice on the platform or sending an email to your registered address. Continued use of NexDuty AI after changes constitutes acceptance of the updated Terms.

We may also modify, suspend, or discontinue any part of the platform at any time, with reasonable notice where practicable. We may suspend or terminate your account if you breach these Terms, with or without notice depending on the severity of the breach. You may cancel your account at any time via Settings or by contacting us.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
