1. Acceptance of Terms

By creating an account or using NexDuty AI, you confirm that you are at least 18 years old, have the authority to bind any company you represent, and agree to these Terms and our Privacy Policy.

2. Description of Service

NexDuty AI is a B2B SaaS platform that helps Indian exporters verify Rules of Origin compliance under the 2026 India–EU Free Trade Agreement. The service uses AI to analyse supplier invoices, calculate the Maximum Non-Originating Materials (MaxNOM) percentage, and generate a draft Statement on Origin.

3. Not Legal Advice

The compliance outputs generated by NexDuty AI — including MaxNOM calculations, origin determinations, and Statement on Origin drafts — are provided for informational and operational purposes only. They do not constitute legal advice.

Trade compliance determinations can be complex and depend on factors beyond the information you provide. You are solely responsible for verifying all outputs with a qualified customs expert or legal counsel before submitting any Statement on Origin to a buyer or customs authority. NexDuty AI bears no liability for customs penalties, duties, or legal consequences arising from reliance on platform outputs.

4. Acceptable Use

You agree not to:

• Upload invoices or data that you do not have the right to submit.
• Use the platform to generate false or fraudulent compliance documents.
• Attempt to reverse-engineer, scrape, or extract the underlying AI models or system prompts.
• Use the platform in any manner that violates applicable export control, sanctions, or trade laws.
• Share your account credentials with unauthorised third parties.

5. Account Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at founder.nexdutyai@gmail.com if you suspect unauthorised access.

6. Intellectual Property

The NexDuty AI platform, including its software, design, and content (excluding your uploaded documents), is owned by NexDuty AI and protected by copyright and intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the platform for your internal business purposes only.

You retain all ownership of documents you upload. By uploading, you grant us a limited licence to process those documents solely to provide the service to you.

7. Availability and Changes

We aim to provide a reliable service but do not guarantee uninterrupted availability. We reserve the right to modify, suspend, or discontinue any part of the platform at any time, with reasonable notice where practicable. We may update these Terms; continued use after changes constitutes acceptance.

8. Limitation of Liability

To the maximum extent permitted by applicable law, NexDuty AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the platform, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising under these Terms shall not exceed the amount you paid us in the three months preceding the claim.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

10. Termination

We may suspend or terminate your account if you breach these Terms, with or without notice depending on the severity of the breach. You may cancel your account at any time via Settings or by contacting us. Upon termination, your right to use the service ceases immediately.
